Terms of sale
These Terms of Sale (“Terms”) govern all quotations, orders, purchases, sales, and transactions involving products or services supplied by US Tech Devices, Inc. (“US Tech Devices,” “Company,” “we,” “us,” or “our”). By submitting an order, accepting a quotation, issuing a purchase order, making payment, or accepting delivery of products from US Tech Devices, the customer (“Customer,” “Buyer,” “you,” or “your”) agrees to be bound by these Terms.

US Tech Devices, Inc. supplies information technology hardware, networking equipment, computers, peripherals, components, accessories, software-related products, and associated technology products to commercial, government, education, healthcare, nonprofit, and institutional customers throughout the United States.
2. Acceptance of Orders
All orders are subject to acceptance by US Tech Devices, Inc. We reserve the right to accept, reject, cancel, limit, or place an order on hold for any lawful business reason, including product availability, pricing errors, credit concerns, suspected fraud, supplier restrictions, manufacturer authorization requirements, export restrictions, or order verification requirements.
An automated order confirmation, website acknowledgement, quotation acknowledgement, or payment authorization does not constitute final acceptance of an order.
An order is considered accepted when US Tech Devices confirms fulfillment, shipment, procurement from an authorized source, or otherwise expressly accepts the transaction.
3. Quotations
Unless otherwise stated in writing, quotations are valid only for the period indicated on the quotation and remain subject to product availability, manufacturer pricing, distributor pricing, freight charges, taxes, currency fluctuations, and supplier allocation.
Quotations may be revised or withdrawn at any time before order acceptance.
Prices quoted for special-order, configured, customized, discontinued, allocation-controlled, or manufacturer-authorized products may change before fulfillment if supplier pricing or availability changes.
4. Pricing
All prices are stated in U.S. dollars unless otherwise specified.
US Tech Devices makes reasonable efforts to maintain accurate pricing; however, typographical errors, supplier data errors, manufacturer pricing changes, system errors, and catalog synchronization errors may occur.
If a pricing error is identified, US Tech Devices may:
cancel the affected order;
request approval for corrected pricing;
issue a revised quotation; or
refund any payment already received for the affected item.
US Tech Devices is not obligated to honor an obviously incorrect or commercially unreasonable price caused by an error.
5. Product Availability
Product availability is subject to change without notice.
Inventory shown online, in a quotation, or in a catalog may reflect supplier, distributor, warehouse, manufacturer, or third-party inventory information and may not represent inventory physically held by US Tech Devices.
US Tech Devices may fulfill orders through its own inventory, authorized distributors, manufacturers, wholesalers, logistics partners, or other legitimate supply channels.
Partial shipments may be made when appropriate.
6. Product Information
US Tech Devices makes reasonable efforts to provide accurate product information, including descriptions, specifications, manufacturer part numbers, images, dimensions, compatibility information, technical data, and availability.
Product information may originate from manufacturers, distributors, publishers, or other third-party sources.
Manufacturers may modify product specifications, packaging, components, country of origin, model revisions, firmware, or product design without notice.
Images are generally for reference and may not represent the exact packaging, revision, accessory bundle, configuration, or physical appearance delivered.
Customers are responsible for confirming technical requirements, compatibility, dimensions, electrical requirements, operating environment, licensing requirements, and manufacturer specifications before ordering.
7. Purchase Orders
Purchase orders are subject to acceptance by US Tech Devices.
Any terms contained in a Customer purchase order that conflict with these Terms are rejected unless expressly accepted in writing by an authorized representative of US Tech Devices.
Customer purchase orders should include sufficient information for processing, including:
legal entity name;
billing address;
shipping address;
purchase order number;
product manufacturer part number;
quantity;
agreed price;
delivery requirements;
authorized contact information; and
applicable government contract information when relevant.
8. Payment Terms
Payment terms are determined by US Tech Devices based on the Customer, order type, credit status, transaction history, and applicable quotation.
Orders may require payment in advance.
Approved commercial, institutional, education, healthcare, or government Customers may qualify for invoicing or credit terms.
US Tech Devices may require:
credit card payment;
ACH payment;
wire transfer;
check;
electronic funds transfer;
government purchase card; or
other approved payment method.
US Tech Devices reserves the right to perform credit verification, request financial references, establish credit limits, suspend credit privileges, or require advance payment.
Late or unpaid balances may result in suspension of additional orders, cancellation of open orders, revocation of credit terms, collection activity, or other lawful remedies.
9. Credit Card Transactions
Credit card orders may be subject to billing-address verification, cardholder verification, fraud screening, authorization procedures, and transaction limits.
US Tech Devices may request supporting documentation before releasing an order.
Payment authorization does not guarantee order acceptance.
10. Taxes
Prices do not include applicable sales, use, excise, transaction, value-added, or similar taxes unless expressly stated.
Customers are responsible for all applicable taxes associated with their purchases.
Tax-exempt Customers must provide a valid and properly completed exemption certificate or other acceptable tax documentation before the transaction is processed as tax exempt.
US Tech Devices may collect taxes when required by applicable law.
11. Government Customers
US Tech Devices may accept orders from federal, state, local, municipal, educational, and other public-sector entities.
Government orders may be subject to applicable procurement regulations, contractual requirements, funding availability, authorized purchasing procedures, and specific contract terms.
Where a valid government contract, solicitation, purchase order, or negotiated agreement expressly conflicts with these standard Terms, the mutually accepted government contract or purchase order terms will control solely to the extent of the conflict.
US Tech Devices does not represent that every product listed on its website is automatically eligible for purchase under every government contract, procurement vehicle, socioeconomic program, or funding source.
12. Federal Government Transactions
US Tech Devices is registered for U.S. government contracting under the following identifiers:

Federal government purchases may require additional representations, certifications, clauses, flow-down requirements, sourcing requirements, country-of-origin restrictions, Trade Agreements Act requirements, Buy American requirements, cybersecurity requirements, or other federal acquisition conditions.
Any such requirements must be clearly identified in the solicitation, quotation request, contract, or purchase order before acceptance.
13. Shipping
US Tech Devices ships products within the United States using common carriers, freight carriers, manufacturer-direct shipment, distributor-direct shipment, or other logistics providers.
Shipping methods may include ground, expedited, air, freight, LTL, or other services depending on product size, weight, destination, availability, and Customer requirements.
Estimated shipping and delivery dates are not guaranteed unless US Tech Devices expressly agrees to a guaranteed service in writing.
14. Drop Shipments
US Tech Devices may fulfill orders through direct shipment from manufacturers, distributors, suppliers, or fulfillment partners.
Different items within the same order may arrive in separate shipments and from different locations.
Packaging, carrier labels, return addresses, or shipping documents may reference a manufacturer, distributor, or fulfillment partner.
Such fulfillment arrangements do not change the identity of US Tech Devices as the seller unless otherwise expressly stated.
15. Freight and Shipping Charges
Shipping, handling, insurance, residential delivery, liftgate service, inside delivery, limited-access delivery, expedited shipping, oversized freight, hazardous-material handling, or special transportation charges may be billed separately when applicable.
Freight quotations may be estimates and may be adjusted if carrier charges change due to weight, dimensions, destination classification, accessorial services, or delivery conditions.
16. Title and Risk of Loss
Unless otherwise required by law or expressly agreed in writing, risk of loss passes to the Customer upon delivery of the products to the carrier for shipment.
Customers should inspect all shipments promptly upon receipt.
Visible freight damage should be noted with the carrier at the time of delivery.
Claims involving loss, concealed damage, or shipping damage should be reported to US Tech Devices as soon as reasonably possible so that appropriate carrier or supplier claim procedures can be initiated.
17. Delivery Delays
US Tech Devices is not responsible for delays caused by manufacturers, distributors, carriers, weather, natural disasters, labor disputes, port congestion, supply-chain interruptions, allocation, product shortages, transportation interruptions, customs processing, government action, cybersecurity incidents, infrastructure failures, or other circumstances beyond our reasonable control.
Estimated availability or delivery dates are provided for planning purposes and are not contractual guarantees unless expressly agreed in writing.
18. Backorders
Products that are temporarily unavailable may be placed on backorder.
US Tech Devices may:
keep the item on backorder;
offer an alternative product;
provide an updated estimated availability date;
make a partial shipment; or
cancel and refund the unavailable item.
Customers may request cancellation of a backordered item before it enters a non-cancellable procurement or fulfillment stage.
19. Special-Order Products
Products specifically procured for a Customer may be designated as special order.
Special-order products may include:
configured systems;
custom products;
non-stock products;
manufacturer-built products;
made-to-order products;
project-specific products;
large-quantity purchases;
allocation products;
discontinued products sourced specifically for a Customer; and
products subject to supplier non-cancellation policies.
Special-order products may be non-cancellable and non-returnable once procurement has begun.
20. Software, Licenses, Subscriptions, and Digital Products
Software, electronic licenses, activation keys, subscriptions, cloud services, support contracts, renewals, warranties, and digital products may be subject to manufacturer or publisher licensing terms.
Once a license, activation code, entitlement, subscription, electronic delivery, registration, or manufacturer provisioning process has been issued or initiated, the transaction may be non-cancellable and non-returnable.
Customers are responsible for verifying:
software edition;
license type;
license quantity;
subscription duration;
renewal requirements;
platform compatibility;
operating system requirements;
user or device count; and
deployment requirements.
US Tech Devices is not responsible for Customer ordering errors relating to software licensing or subscription configuration.
21. Manufacturer Warranties
Products sold by US Tech Devices may include warranties provided by the original manufacturer.
Warranty duration, coverage, exclusions, repair procedures, replacement procedures, and technical support are governed by the applicable manufacturer's warranty terms.
US Tech Devices may assist Customers in identifying manufacturer warranty procedures but does not independently extend or modify the manufacturer's warranty unless expressly stated in writing.
22. Returns
Return eligibility depends on the specific product, manufacturer, distributor, supplier, condition, and return policy applicable to the item.
Customers must contact US Tech Devices before returning any product.
Unauthorized returns may be refused.
A Return Merchandise Authorization (“RMA”) number may be required before a product is returned.
Returned products must generally be:
complete;
unused unless defective;
in resalable condition;
in original packaging;
accompanied by manuals, accessories, cables, inserts, labels, and documentation; and
free from physical damage, unauthorized modification, asset tags, permanent markings, or missing components.
23. Non-Returnable Products
Certain products may be non-returnable, including but not limited to:
opened software;
activated software licenses;
electronic licenses;
downloadable products;
subscriptions;
special-order products;
custom-configured products;
manufacturer-built products;
clearance products;
discontinued products;
consumables;
opened hygiene-sensitive products;
products subject to manufacturer restrictions;
products specifically procured for the Customer;
large-volume project orders; and
products designated as non-returnable at the time of quotation or sale.
24. Restocking Fees
Approved returns may be subject to a restocking fee based on manufacturer, distributor, supplier, product condition, and return requirements.
Shipping, freight, handling, special-order charges, licensing fees, manufacturer charges, and expedited shipping charges may be non-refundable.
25. Defective Products
Customers should report defective products promptly.
Depending on manufacturer policy, defective products may be eligible for:
manufacturer technical support;
warranty repair;
replacement;
advance replacement;
depot repair;
authorized service-center processing; or
manufacturer RMA.
Some manufacturers require Customers to work directly with the manufacturer for warranty support.
26. Wrong Product or Shipping Error
If US Tech Devices ships an incorrect product due to an error attributable to US Tech Devices or its fulfillment source, the Customer must notify us promptly.
US Tech Devices will review the transaction and, when appropriate, arrange return, replacement, correction, or refund.
The product must be returned in substantially the same condition in which it was received.
27. Order Cancellation
Customers may request cancellation before an order enters procurement, fulfillment, configuration, licensing, staging, shipment, or supplier commitment.
Cancellation is not guaranteed.
Orders may become non-cancellable when:
a supplier purchase order has been placed;
a manufacturer has accepted the order;
configuration has started;
software or licensing has been provisioned;
the product has shipped;
the product is special order; or
cancellation charges apply.
Any applicable cancellation fees or supplier charges may be passed to the Customer.
28. Customer Responsibilities
Customers are responsible for:
providing accurate billing and shipping information;
confirming product compatibility;
confirming manufacturer part numbers;
obtaining required internal approvals;
reviewing quotations before acceptance;
complying with manufacturer licensing terms;
ensuring authorized use of products;
securing required permits, approvals, or certifications;
complying with U.S. export and sanctions laws; and
maintaining secure custody of delivered products and license credentials.
29. Export Compliance
Products sold by US Tech Devices may be subject to United States export-control laws and regulations.
Customers agree not to export, re-export, transfer, divert, sell, or otherwise dispose of products contrary to applicable U.S. laws, regulations, sanctions, embargoes, or restrictions.
Products may not be supplied to prohibited persons, restricted entities, sanctioned jurisdictions, or prohibited end uses.
US Tech Devices reserves the right to refuse or cancel transactions presenting export-control, sanctions, diversion, fraud, or compliance concerns.
30. Resale
Customers purchasing products for resale are responsible for complying with all applicable reseller, tax, licensing, export, manufacturer, channel, and marketplace requirements.
Manufacturer restrictions may prohibit resale into certain markets, countries, territories, online marketplaces, government programs, or distribution channels.
31. Fraud Prevention
US Tech Devices reserves the right to conduct transaction verification and fraud-prevention screening.
We may request:
business identification;
government-issued identification;
payment verification;
billing confirmation;
purchase-order verification;
business registration documents; or
other reasonable information necessary to validate a transaction.
Orders may be delayed, rejected, or cancelled if verification cannot be completed.
32. Account Security
Customers are responsible for maintaining the confidentiality of account credentials, passwords, purchasing credentials, and authorized user access.
Customers must promptly notify US Tech Devices if unauthorized account activity is suspected.
33. Limitation of Liability
To the maximum extent permitted by applicable law, US Tech Devices will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising from any transaction, including loss of profits, revenue, business opportunity, data, productivity, goodwill, or use of products.
US Tech Devices' aggregate liability relating to a particular product or transaction will not exceed the amount actually paid to US Tech Devices for the specific product giving rise to the claim, except where applicable law prohibits such limitation.
34. Disclaimer of Implied Warranties
Except for any warranty expressly provided in writing by US Tech Devices, products are supplied subject to the applicable manufacturer's warranty.
To the maximum extent permitted by law, US Tech Devices disclaims implied warranties including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
This disclaimer does not affect rights that cannot lawfully be waived.
35. Technical Advice
Any compatibility guidance, technical information, product recommendation, specification assistance, or configuration guidance provided by US Tech Devices is provided based on information reasonably available at the time.
Customers remain responsible for verifying that products are suitable for their intended environment, system, network, application, regulatory requirement, and use case.
36. Third-Party Products and Services
US Tech Devices may resell products or services supplied by third parties.
Third-party products may be governed by separate manufacturer, publisher, service-provider, licensing, warranty, privacy, support, or subscription terms.
US Tech Devices is not responsible for changes made by third-party manufacturers or service providers after the sale.
37. Product Substitutions
US Tech Devices will not intentionally substitute a materially different manufacturer or product without Customer approval.
Manufacturer revision changes, packaging changes, component revisions, firmware versions, or equivalent manufacturer updates may occur without notice when the manufacturer retains the same commercial part number.
38. Force Majeure
US Tech Devices will not be liable for failure or delay caused by events beyond its reasonable control, including acts of God, natural disasters, severe weather, war, terrorism, civil unrest, epidemics, pandemics, government actions, labor disputes, transportation disruption, cyberattacks, power failures, telecommunications failures, manufacturer shortages, supplier failures, port congestion, embargoes, sanctions, fires, floods, or similar events.
39. Intellectual Property
All trademarks, product names, manufacturer names, logos, photographs, technical information, and other intellectual property displayed on the US Tech Devices website remain the property of their respective owners.
Reference to a manufacturer or trademark does not imply ownership of that trademark by US Tech Devices.
40. Website Errors
US Tech Devices reserves the right to correct errors, inaccuracies, omissions, pricing mistakes, specifications, stock information, promotional terms, and other website content at any time without prior notice.
We may cancel orders affected by material website errors.
41. Communications
By communicating with US Tech Devices electronically, Customers consent to receive transactional communications electronically, including quotations, invoices, order confirmations, shipping information, product notices, support communications, and account-related messages.
42. Confidential Information
Each party should use commercially reasonable measures to protect confidential business information received in connection with a transaction.
This obligation does not apply to information that:
is publicly available;
was already lawfully known;
is independently developed;
is lawfully obtained from another source; or
must be disclosed by law or governmental authority.
43. Compliance With Law
Customers must use products purchased from US Tech Devices in compliance with applicable federal, state, and local laws and regulations.
US Tech Devices may refuse transactions involving suspected illegal activity, fraud, prohibited end use, sanctions violations, export violations, unauthorized resale, or other compliance concerns.
44. Indemnification
To the extent permitted by law, the Customer agrees to indemnify and hold harmless US Tech Devices, Inc., its officers, directors, employees, affiliates, representatives, and suppliers from third-party claims arising from the Customer's unlawful use, unauthorized resale, improper export, misuse, modification, or deployment of products.
45. Governing Law
These Terms and any transaction with US Tech Devices shall be governed by the laws of the Commonwealth of Virginia and applicable federal laws of the United States, without regard to conflict-of-law principles.
46. Venue
Unless otherwise required by applicable law or government contract terms, any legal proceeding arising from these Terms or a transaction with US Tech Devices shall be brought in a court of competent jurisdiction serving Alexandria, Virginia or the applicable federal judicial district in Virginia.
47. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
48. No Waiver
Failure by US Tech Devices to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
49. Assignment
Customers may not assign their rights or obligations under a transaction without prior written approval from US Tech Devices where such approval is legally required.
US Tech Devices may assign or transfer its rights in connection with a merger, acquisition, restructuring, financing arrangement, or transfer of business operations, subject to applicable law.
50. Entire Agreement
These Terms, together with any accepted quotation, invoice, purchase order, written contract, or applicable manufacturer terms, constitute the agreement governing the applicable transaction.
If a separately executed written agreement expressly conflicts with these Terms, the executed agreement will control with respect to the specific conflicting provision.
51. Changes to These Terms
US Tech Devices may revise these Terms periodically.
Updated Terms become effective when posted on the Company's website unless otherwise stated.
The Terms applicable to a transaction are generally those in effect at the time the order is accepted, except where applicable law or a written agreement requires otherwise.
